The following Terms govern your use of the accompanying the SUZUKEN Physical Activity Analysis Software Personal (hereunder “the Software”) unless you have a separate written agreement with SUZUKEN COMPANY LIMITED (hereunder “SUZUKEN”). USER TERMS SUZUKEN grants you a license to Use one copy of the Software. "Use" means storing, loading, installing, executing or displaying the Software. You may not modify the Software or disable any licensing or control features of the Software. Intellectual Property Ownership The Software and any authorized copies that you make are the intellectual property of and are owned by SUZUKEN and its authorized suppliers. The structure, organization and code of the Software are the valuable trade secrets and confidential information of SUZUKEN and its suppliers. The Software is protected by law, including but not limited to the copyright laws of Japan and other countries, and by international treaty provisions. Except as expressly stated herein, this agreement does not grant you any intellectual property rights in the Software and all rights not expressly granted are reserved by SUZUKEN and authorized suppliers. Copies You may only make copies of the Software for archival purposes or when copying is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies. You may not copy the Software onto any bulletin board or similar system. Disassembly or Decryption You may not disassemble or decompile the Software unless SUZUKEN's prior written consent is obtained. In some jurisdictions, SUZUKEN's consent may not be required for disassembly or decompilation. Upon request, you will provide SUZUKEN with reasonably detailed information regarding any disassembly or decompilation. You may not decrypt the Software unless decryption is a necessary part of the operation of the Software. Transfer Your license will automatically terminate upon any transfer of the Software. Upon transfer, you must deliver the Software, including any copies and related documentation, to the transferee. You must delete the installed Software in your PC. The transferee must accept these License Terms as a condition to the transfer. Termination This License is effective until terminated. Your rights under this License will terminate automatically without notice from SUZUKEN if you fail to comply with any term(s) of this License. Upon the termination of this License, you shall cease all use of the Software and destroy all copies. LIMITATION OF LIABILITY. EXCEPT FOR THE EXCLUSIVE REMEDY SET FORTH ABOVE, IN NO EVENT WILL SUZUKEN OR ITS AFFILIATES OR SUPPLIERS BE LIABLE TO YOU FOR ANY LOSS, DAMAGES, CLAIMS OR COSTS WHATSOEVER INCLUDING ANY CONSEQUENTIAL, INDIRECT OR INCIDENTAL DAMAGES, ANY LOST PROFITS OR LOST SAVINGS, ANY DAMAGES RESULTING FROM BUSINESS INTERRUPTION, PERSONAL INJURY OR FAILURE TO MEET ANY DUTY OF CARE, OR CLAIMS BY A THIRD PARTY, EVEN IF AN SUZUKEN REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS OR COSTS. THE FOREGOING LIMITATIONS AND EXCLUSIONS APPLY TO THE EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION. SUZUKEN AGGREGATE LIABILITY AND THAT OF ITS AFFILIATES AND SUPPLIERS UNDER OR IN CONNECTION WITH THIS AGREEMENT WILL BE LIMITED TO THE AMOUNT PAID FOR THE SOFTWARE AND ANOTHER PRODUCT, IF ANY. SOME COUNTRIES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM COUNTRY TO COUNTRY AND JURISDICTION TO JURISDICTION. This Agreement shall be governed by the laws of Japan. You acknowledge that you have read, understood and agree to be bound by the terms of this Agreement.
